These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "you" or "your") and SchoBase, Inc. ("SchoBase", "we", "us", or "our") concerning your access to and use of the SchoBase platform, website, APIs, and related services (collectively, the "Services").
By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.
Effective Date: These Terms are effective as of the date you first access or use the Services.

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

You agree to pay all fees associated with your use of the Services as described on our pricing page. All fees are in U.S. dollars unless otherwise specified.
Late payments are subject to a 1.5% monthly interest charge (or the maximum permitted by law, whichever is less). We may suspend your account for non-payment.
All fees are non-refundable except as required by law or as explicitly stated in your enterprise agreement. We do not provide refunds or credits for partial months of service.
You retain all rights, title, and interest in and to the time series data you store in SchoBase ("Your Data"). You grant us a limited license to use, store, and process Your Data solely to provide the Services.
We implement industry-standard security measures to protect Your Data, including AES-256-GCM encryption at rest and TLS 1.3 encryption in transit. See our security page for details.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Services, including all software, documentation, trademarks, logos, and other materials (excluding Your Data), are owned by SchoBase and protected by copyright, trademark, and other intellectual property laws.
SchoBase TypeScript SDK is released under the MIT License. You may use, modify, and distribute the open source components in accordance with the MIT License terms. See our LICENSE file for details.
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.
If we fail to meet the uptime guarantee, you may be eligible for service credits:
The SLA does not apply to downtime caused by: (a) scheduled maintenance with 24-hour notice, (b) factors outside our control (e.g., internet outages, DDoS attacks), (c) your misuse of the Services, or (d) your network or equipment issues.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (a) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (b) THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (c) ANY DEFECTS WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SCHOBASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) $100.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless SchoBase, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of a third party, or (d) Your Data.
You may terminate your account at any time by contacting us at hello@schobase.dev. Termination will be effective at the end of your current billing period.
We may terminate or suspend your account immediately, without prior notice, for: (a) violations of these Terms, (b) fraudulent or illegal activity, (c) non-payment, or (d) any other reason at our sole discretion.
Upon termination: (a) your right to use the Services will immediately cease, (b) we will delete Your Data within 30 days (unless legally required to retain it), and (c) you remain liable for all fees incurred prior to termination.
If you have a dispute with us, you agree to first contact us at legal@schobase.dev and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, you agree that any dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), rather than in court. The arbitration will be conducted in San Francisco, California.
You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco County, California.
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
These Terms, together with our Privacy Policy and any enterprise agreements, constitute the entire agreement between you and SchoBase regarding the Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, pandemics, or internet outages.
